Kuehne+Nagel has acquired the road logistics activities of LSL-Lohmöller Spedition und Logistik GmbH, a long-established logistics service provider in Germany offering groupage, LTL and FTL services. This marks another strategic step in strengthening the company’s road logistics network in Europe, following last year’s acquisition of TDN in Spain.

Founded in 1930, Lohmöller is a family-run freight forwarder that combines a strong heritage and a focus on digitisation. Its operational gravity centre is north-west Germany, a dynamic industrial region with substantial road freight activity. In 2024, revenue from road freight activities amounted to approximately EUR 23,5 million.

The acquisition further enhances Kuehne+Nagel’s domestic road freight network in Germany as well as its broader European footprint, with 142 logistics specialists and fifty trucks joining the established network. It also strengthens Kuehne+Nagel’s position within IDS, one of Germany’s largest groupage freight cooperations, with Lohmöller having joined IDS already earlier in 2026.

The contract logistics activities and industry-related services of Lohmöller are not part of the acquisition and will remain with the current owners. The completion of the transaction is subject to closing conditions and is expected in March.

Apex Logistics signed an agreement to acquire the majority of shares of Andes Integración Logística. The transaction will enhance Apex Logistics’ offering in Latin America and support its strategic development goals.

Andes Integración Logística, established in 2008, offers a comprehensive range of logistics services, including international air and sea freight, land transportation, warehousing, and distribution. Over the past 17 years, the company has experienced significant growth and today provides services in Chile, Colombia, Argentina, Peru, Paraguay, Uruguay, Bolivia, the USA, and China.

As one of the leading logistics providers in South America, Andes Integración Logística handles over 90,000 TEUs (twenty-foot equivalent unit) of ocean shipping containers and 40,000 tons of airfreight annually. The company has a proven track record and extensive experience in the perishables sector, shipping various seasonal fresh products, including salmon, cherries, berries, and mangoes, to Asia and across the world. Additionally, they serve key industries, including automotive, high-tech, industrial, fashion, and retail.

Once the acquisition will be finalised, the two companies will greatly improve their complementary joint value proposition in the Americas. Apex' established charter and commercial flight networks between Asia and North America, combined with Andes' local talent and expertise, are designed to create strong logistics solutions maximizing the strategic potential within Latin America.

The transaction is still subject to customary closing conditions and approval by the competent authorities.

Kuehne+Nagel announces its intention to acquire Eastway Global Forwarding Ltd., a leader in aerospace logistics. The acquisition complements Kuehne+Nagel's aerospace logistics offering and supports its growth ambitions in the fast-developing aerospace industry. 

With a network spanning 130 countries globally, Eastway is a family-owned company, headquartered in Limerick, Ireland. It is a trusted logistics provider in the aerospace industry. The company offers time critical aircraft-on-ground (AOG) services, aircraft engine logistics, aviation logistics & warehousing, and customs brokerage services. It also provides full lifecycle services for the aviation leasing industry. The aviation lessor industry owns over 50% of the global aviation fleet and is expected to grow in value from USD 187.1 billion in 2024 to 565.1 billion by 2034, at a CAGR of 11.8% (CAPA, Global Market Insights).

The acquisition is subject to regulatory approvals and customary closing conditions. Completion of the transaction is expected by the end of 2025. Upon closing, Eastway will become a fully owned subsidiary of Kuehne+Nagel. 

Kuehne+Nagel acquires a majority stake in IMC Logistics (IMC), a leading marine drayage provider in the United States. As announced by both companies, Kuehne+Nagel will acquire 51% of the privately held company. IMC specializes in comprehensive end-to-end transportation solutions to or from seaports or rail hubs, customer facilities and inland in the United States. With this investment, Kuehne+Nagel enhances its access to one of the most important logistics networks in North America and ensures flexible transportation solutions in times of increasing supply chain disruptions. The IMC brand will be retained.

IMC is headquartered in Collierville, Tennessee and has more than 40 years of experience in providing intermodal solutions for Sea Logistics in the United States. Kuehne+Nagel and IMC are longtime partners. IMC's national network includes 49 locations with a strategic presence at major US seaports and rail transportation hubs. The company handles 2 million TEUs annually in intermodal drayage and rail operations. With around 1,700 employees and an extensive network of independent contractors, IMC generated revenue of around USD 800 million in 2023.

The transaction is expected to be completed at the beginning of the first quarter of 2025. Both parties have agreed not to disclose further details of the transaction at this time. The deal is subject to approval from regulatory authorities and customary closing conditions.

Kuehne+Nagel signed an agreement to acquire Morgan Cargo, a leading South African, UK and Kenyan freight forwarder specialised in the transport and handling of perishable goods. During 2022 the company handled more than 40,000 tonnes of air freight and more than 20,000 TEU of sea freight globally, managed by approximately 450 logistics experts.

The acquisition of Morgan Cargo ideally complements Kuehne+Nagel's perishables logistics service offering, while improving connectivity for customers to and from South Africa, the UK and Kenya, which includes state-of-the-art cold chain facilities.

Closing of the transaction is expected during the third quarter of 2023 and is subject to customary closing conditions, including clearance by the competent merger control authorities.

Kuehne+Nagel has agreed to sell to Partners Group, a leading global private markets firm, a 24.9% equity stake in Apex International Corporation ("Apex" or "the Company"). Following the transaction, Partners Group will join majority shareholder Kuehne+Nagel Group, one of the world's leading logistics companies, with a seat on the Apex Board.

Partners Group will work alongside Kuehne+Nagel to implement a transformational value creation plan for Apex together with the Company's management team. Key initiatives include establishing new freight forwarding routes; identifying new growth verticals, such as healthcare; and M&A.

Kuehne+Nagel has completed the acquisition of Apex International Corporation (“Apex”), following the satisfaction of all closing conditions, including the receipt of unconditional regulatory approvals from the competent authorities.

Apex is one of Asia’s leading freight forwarders, especially on the transpacific and intra-Asia trade routes. In 2020, the company generated turnover of CHF 2.2 billion, gross profit of CHF 296 million and earnings before taxes of CHF 126 million and ranked seventh in terms of global air freight forwarding volume. In the first quarter of 2021, Apex has continued to perform strongly with turnover of CHF 556 million, gross profit of CHF 109 million and earnings before tax of CHF 64 million.

Kuehne+Nagel has acquired the majority of the shares in Apex. A minority participation remains with the Apex management, with the parties retaining customary contractual rights to acquire and sell these shares. The purchase price paid at closing amounts to CHF 1.1 billion and has been financed by the Group’s own funds and approximately 750,000 new Kuehne+Nagel shares issued out of authorized share capital. In addition, over the next three years, Kuehne+Nagel will have the opportunity to acquire all other shares in Apex for a performance-based consideration.

The experienced management team of Apex will continue to run the company, supported by the global network, capabilities and solutions of the Kuehne+Nagel Group.

The economic benefits of the Apex business have been effectively transferred to Kuehne+Nagel with effect from January 1, 2021 as per the terms of the transaction agreement. However, the Apex result will be fully consolidated in Kuehne+Nagel’s financial statements from the closing date of this transaction.

Kuehne+Nagel enters into a binding agreement to acquire Apex International Corporation (“Apex”), one of Asia’s leading freight forwarders, especially in the transpacific and intra-Asia. The company was founded in China in 2001 and has expanded throughout Asia and beyond over the years of its growth history.

With approximately 1,600 employees, Apex generates yearly turnover in excess of CHF 2.1 billion. In 2020, the company handled total air freight volume of approximately 750,000 tons and sea freight volume of 190,000 TEU.

The acquisition is subject to customary closing conditions, including merger clearance by the competent competition authorities. The purchase price will be financed by available liquid sources and, if needed, by available credit lines. Following closing of the transaction, a minor stake of Apex shares is to remain with the experienced and entrepreneurial management of Apex. Furthermore, the company will then continue to operate separately within the Kuehne+Nagel Group.

At this point, both parties have agreed to not disclose any further transaction details.

With the completed divestment of a major part of its UK Contract Logistics portfolio to XPO Logistics, Kuehne+Nagel has completed the restructuring of this business unit. This transaction follows the sale of the Contract Logistics activities in Argentina, the chilled FMCG portfolio in France as well as a portfolio of real estate assets.

The UK transaction closes after the unconditional approval by the British Competition and Market Authority. The scope includes the drinks logistics, food services and retail & technology businesses. Kuehne+Nagel remains highly committed to excellent customer solutions and service in the UK.
